§ 1What these terms cover
The hosted cloud service
These terms govern your use of Halton Meter Cloud — the hosted dashboard, API, and team reporting service accessible at app.haltonmeter.com and operated by Halton Labs. By creating a workspace or using the service you agree to these terms.
The Halton Meter daemon (the local binary distributed via PyPI) is a separate product with its own licence terms at haltonmeter.com/terms. These terms do not govern it.
§ 2Your account
Workspace owner responsibility
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your workspace. Notify us immediately at operator@haltonlabs.com if you believe your account has been compromised.
You must be 18 or older and have authority to bind your organisation (if applicable) to these terms.
§ 3Subscriptions and billing
Paid plans
Paid subscriptions are billed monthly or annually in advance. Prices are shown on the pricing page at the time of purchase. We may change prices with 30 days' notice to workspace owners; continued use after the notice period constitutes acceptance.
Who processes your payment
Billing for Halton Meter Cloud is handled by our billing platform, Clerk Inc. (Clerk Billing), under our contract with Clerk. Clerk uses Stripe upstream as its card-network processor. We receive a billing reference and plan state from Clerk — we never see your raw card details. The current sub-processor list, including the payments chain, is described in our Privacy Policy and (when published) at cloud.haltonmeter.com/sub-processors.
Refunds
Refund eligibility, the UK consumer cooling-off period for individual buyers, and our refund-request process are described in our Refunds Policy. Where the Refunds Policy and these terms differ on a refund question, the Refunds Policy controls.
Cancellation
You may cancel your subscription at any time from the workspace settings page. Access continues until the end of the current billing period. Subject to the Refunds Policy, we do not provide pro-rata refunds for partial periods.
Enterprise
Enterprise deployments are governed by a separate order form and statement of work. In the event of conflict, the order form takes precedence over these terms.
Data processing
Where the Customer is processing personal data through the Service, the Halton Labs Data Processing Addendum at cloud.haltonmeter.com/dpa is incorporated by reference into these terms and applies to all such processing.
§ 4Acceptable use
What you may not do
You may not use the service to:
- Violate any applicable law or regulation.
- Attempt to gain unauthorised access to other workspaces or our infrastructure.
- Reverse-engineer, decompile, or resell the service or any component of it.
- Build a competing product using data or insights derived from the service.
- Transmit malicious code or interfere with service availability for other users.
§ 5Data ownership
Your data is yours
All cost metadata, reports, and exports you generate remain your property. We hold it on your behalf to deliver the service. You may export your data at any time in CSV or JSON format from the dashboard.
On account cancellation, you have 30 days to export before your data is deleted. We do not use your data to train models or for any purpose other than operating the service.
§ 6Service availability
Best effort for standard plans
We target high availability but do not commit to an uptime SLA on Solo or Team plans. Planned maintenance will be announced at least 24 hours in advance via the status page.
Enterprise customers receive a contractual SLA as specified in their order form.
§ 7No warranty
As is, without warranty
The service is provided as is without warranty of any kind. Cost calculations depend on pricing data that providers change without notice. We make reasonable efforts to keep pricing current but cannot guarantee that computed costs will match your provider's billing at all times. Do not rely on Halton Meter Cloud as your sole source of billing truth without independent reconciliation against provider invoices.
§ 8Limitation of liability
Capped at fees paid in the prior 12 months
To the fullest extent permitted by applicable law, Halton Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service.
Our total liability for direct damages shall not exceed the fees you paid us in the 12 months preceding the claim, or $50 USD, whichever is greater.
§ 9Third-party services
Provider terms apply downstream
The daemon routes traffic to third-party LLM APIs (Anthropic, OpenAI, Google, xAI, and others). Your use of those services is governed by each provider's own terms. Halton Labs is not responsible for the availability, pricing, or behaviour of any third-party API.
§ 10Changes to the service and terms
Material changes get a date bump
We may update the service and these terms at any time. Material changes to these terms will be emailed to workspace owners at least 14 days before taking effect and reflected in the effective date above. Continued use after that date constitutes acceptance.
§ 11Governing law
England and Wales
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
